Terms & Conditions

1. Introduction

1.1 These terms and conditions ("Agreement") govern the provision of video editing services by “One Frame Studios”, hereinafter referred to as "the Company."

1.2 By engaging the Company's services, the Client agrees to be bound by the terms and conditions outlined in this Agreement.

2. Services

2.1 The Company agrees to provide video editing services as described in the agreed-upon project scope.

2.2 Any changes to the project scope must be agreed upon in writing by both parties and may result in adjustments to the project timeline and fees.

3. Payment Terms

3.1 The Client agrees to pay the Company the agreed-upon fees for services rendered.

3.2 Payment is due as follows: 50% upfront, 50% upon project completion.

3.3 If payment is not done according to 3.2, the Client will recieve a video with the Company's Watermark.

3.4 Late payments may be subject to interest charges of 2% per day.

4. Intellectual Property

4.1 The Client retains ownership of all original content provided to the Company for editing.

4.2 The final edited video, including any additional elements created by the Company, becomes the property of the Client upon full payment.

4.3 The Company retains the right to showcase the final edited video in its portfolio and promotional materials unless otherwise agreed in writing with the Client.

5. Confidentiality

5.1 The Company agrees to keep all client materials confidential and to not disclose any sensitive information to third parties.

6. Termination

6.1 Either party may terminate this Agreement with written notice if the other party breaches a material term of this Agreement.

6.2 In the event of termination, the Client shall pay for all services performed up to the termination date.

7. Liability

7.1 The Company shall not be liable for any indirect, consequential, or incidental damages arising from the use or inability to use the edited video.

7.2 The Client agrees to indemnify and hold the Company harmless from any claims or liabilities arising from the content of the edited video.

8. Governing Law

8.1 This Agreement shall be governed by and construed in accordance with the laws of Indian Penal Code.

9. Miscellaneous

9.1 This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings.

9.2 Any amendments to this Agreement must be made in writing and signed by both parties.

By engaging the services of “One Frame Studios”, the Client acknowledges that they have read, understood, and agreed to these terms and conditions.
